mosaic.ai Terms of Service

Last modified: October 11, 2026

These Terms of Service ("Terms") govern your access to and use of the websites, services, and applications (collectively, the "Service") of mosaic.ai, a service of Windgate Consulting, Inc., a Washington corporation ("mosaic.ai," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Scope of These Terms; Customer Agreements

mosaic.ai is a business-to-business service. Access to the Service's features — including candidate evaluation and HR document Q&A — is available only to organizations ("Customers") that have entered into a signed service agreement with us (the "Customer Agreement"), which includes a Master Service Agreement and Data Processing Addendum. If there is a conflict between these Terms and a Customer Agreement, the Customer Agreement controls.

These Terms apply to all visitors to our website and to individuals who access the Service as authorized users of a Customer ("Users"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" refer to you and that organization.

Your Use of the Service

You may use the Service only in compliance with these Terms, the applicable Customer Agreement, and all applicable laws. The Service may change over time as we refine and add features. We may stop, suspend, or modify the Service as provided in the applicable Customer Agreement, or at any time with respect to website visitors.

Customer Data and Ownership

Customers submit applicant and candidate information (such as resumes), HR documents, and related materials to the Service ("Customer Data"). As between you and mosaic.ai, the Customer retains full ownership of Customer Data. We claim no ownership of it.

You grant us a limited, non-exclusive, revocable license to host, copy, process, analyze, and display Customer Data solely as necessary to provide the Service to the Customer that supplied it, including creating backups, generating embeddings, extracted entities, scores, summaries, and answers, and as otherwise instructed by the Customer. This license extends to the trusted third parties we use to provide the Service (for example, Microsoft Azure for hosting and OpenAI for AI processing), solely for the same purpose. This license ends when the Customer Data is deleted from the Service in accordance with the Customer Agreement.

We will not share Customer Data with others except: (a) as the Customer directs; (b) as required by law or valid legal process; or (c) as necessary to provide the Service. Our collection and use of information is further described in our Privacy Policy and the applicable Data Processing Addendum.

Artificial Intelligence; No Hiring Decisions

The Service uses artificial intelligence, including large language models and vector embeddings, to analyze and score candidate information and to answer questions about Customer HR documents. You acknowledge and agree that:

  • AI output is advisory only. Scores, summaries, extracted information, and answers generated by the Service may contain errors, omissions, or inaccuracies, and are provided to assist — not replace — human judgment.
  • The Customer makes all employment decisions. mosaic.ai does not make hiring, promotion, or other employment decisions. The Customer is solely responsible for reviewing AI output and for all decisions made using the Service.
  • Compliance with employment and AI laws. The Customer is solely responsible for complying with laws governing the use of automated employment decision tools in its jurisdictions, including any required notices, consents, bias audits, or impact assessments (for example, New York City Local Law 144 and similar laws).
  • No model training. We do not use Customer Data to train our own or any third party's AI models.

Customer Responsibilities and Warranties

The Customer represents and warrants that: (i) it has all rights, consents, and authority necessary to submit Customer Data to the Service, including providing any legally required notices to, and obtaining any legally required consents from, job applicants, candidates, and employees; (ii) it has the authority to connect its applicant tracking system or other data sources to the Service; and (iii) its use of the Service and Customer Data complies with all applicable laws, including privacy and employment laws.

You agree not to use the Service to submit or process any data that is unlawful, infringing, or that you do not have the right to provide, and not to use the Service in any manner that violates applicable law or the rights of any person.

Your Account and Security

Access to the Service requires an account provisioned under a Customer Agreement. You must provide accurate information when your account is created, and you may never use another user's account. You are responsible for safeguarding the credentials used to access the Service and for all activity under your account. You agree not to disclose your credentials to any third party and to notify us immediately at hello@mosaic.ai upon becoming aware of any breach of security or unauthorized use of your account. mosaic.ai will not be liable for any loss or damage arising from your failure to protect your credentials.

Fees

Fees for the Service, including the applicable service term and any trial arrangements, are set forth in the Customer Agreement. Access to the Service is conditioned on a signed Customer Agreement and payment of the applicable fees.

Privacy and Data Protection

Our collection, use, and disclosure of information are described in our Privacy Policy. For personal data that we process on a Customer's behalf (such as candidate and applicant data), the Customer is the data controller (or "business" under California law) and mosaic.ai is a data processor (or "service provider"), processing such data only in accordance with the Customer's documented instructions and the Data Processing Addendum included in the Customer Agreement. Customer Data is stored and processed in data centers located in the United States, using Microsoft Azure infrastructure in the US West region. By using the Service, you consent to the transfer, storage, and processing of your data in the United States.

mosaic.ai Property, Copyrights and Feedback

All right, title, and interest in and to the Service (excluding Customer Data) are and will remain the exclusive property of Windgate Consulting, Inc. and its licensors, including all software, models, algorithms, and derived system improvements that do not incorporate Customer Data. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Nothing in these Terms gives you a right to use the mosaic.ai name or any mosaic.ai trademarks, logos, domain names, or other distinctive brand features. Any feedback, comments, or suggestions you provide regarding the Service is voluntary, and we are free to use such feedback as we see fit and without any obligation to you.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY PROVIDED IN A CUSTOMER AGREEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT AS OTHERWISE PROVIDED IN A CUSTOMER AGREEMENT, IN NO EVENT WILL MOSAIC.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Suspension and Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or as provided in the applicable Customer Agreement. Upon termination of a Customer Agreement, Customer Data will be deleted or returned as provided in that agreement and the Data Processing Addendum. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws provisions. Except as otherwise provided in a Customer Agreement, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the "Last modified" date above. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. Changes to a Customer Agreement are governed by that agreement.
